Terms and Conditions for Clients

Following are the terms and conditions for people that source Copywriters with Wordfruit. In this document we refer to these people as 'Clients' or 'you'. Copywriters, other Writers, and translators, are referred to collectively as 'Copywriters'. Wordfruit is referred to as 'Wordfruit' and 'we'/'us'.

These terms and conditions are effective as of November 25, 2012. They may be updated without notice, and updates will be effective immediately. Please check back from time to time. There is a link to the current Terms and Conditions in the menu-footer of the Homepage at Wordfruit.com

Use of the Wordfruit website and services indicates that you accept the current Terms and Conditions.

Right to reproduce

Job descriptions that you post are forwarded by email to Copywriters so that they can assess whether they have time for the job, and whether they are interested in the job. You grant a non-exclusive license, and you warrant that you have the right to grant the license, to Wordfruit, to reproduce the content you post for this purpose.

You remain responsible for the content and the consequences of posting or publishing content that you post.

Non-disclosure agreements

Job descriptions are not open to the general public: only to Copywriter members; but if you wish, you can include a non-disclosure document in your job posting, to be sent out to Copywriters by Wordfruit Admin. Before we send out the job description, we will ask Copywriters to sign the NDA and return it to us.

The recruitment process

Wordfruit enables you to connect with Copywriters through 3 methods:

Method 1:
This method applies when you choose, on the post-a-job form, to receive a shortlist of matched Writers.

The process involves Wordfruit Admin matching job descriptions that you post through the Post-a-Job form with Copywriters' profile info. Details follow:

We send your job description(s) to Copywriters whose profile details and other details we believe match the needs of the job. If those Copywriters are not available for the job, we send the job description to other Copywriters.

Connections to Copywriters are not instant. The time it takes to compile appropriate connections to Copywriters, is dependent on the time that Copywriters take to respond to your job description, and the number of Copywriters available for the job. The nature of your job description and your budget will impact this.

Once we have found Copywriters suited to the job and available for it, we send your contact details to those Copywriters and we send the contact details of those Copywriters to you.

Method 2:
This method applies when you choose, on the post-a-job form, 'Send my job listing to all possible matches'.

Wordfruit sends your job listing out to all possible matches. With this method, we do not check availability of Writers for your job -- those Writers that are available for the job get in touch with you direct.

The number of Writers that we send your job listing to depends on the specs and the budget of your job.

Usually you will connect with more Writers via this method than via Method 1.

Method 3:
This method applies when you choose, on the post-a-job form, to post to the job board.

We post your job description(s) to the job board, and we email it out to Copywriters. Note: the job board is public, and accessible to anyone - not only Wordfruit members. But most applications are usually from Wordfruit members - high-standard writers.

Information that you provide

In job posts, please give complete information about the job, so that we have all the information we need, in order to find the right Writers for your job.

In job posts, please ensure you have given complete information about yourself, and include full contact details.

If insufficient information is given, we might ask for further information, or we might not process the job post.

Job briefs, and communication with Copywriters

Many Wordfruit Clients have extensive experience in writing briefs. The following notes are intended for those who have less experience: please be clear in your brief on the requirements that you have for the job, and include all information that Wordfruit Admin needs in order to be able to find Copywriters that are a match for the needs of your job; and include all details that Copywriters will need in order to quote/apply. We will then be able to get the most appropriately matched Copywriters for the job, Copywriters will be able to give more accurate quotes, and the job will run more smoothly.

For off-site positions, please bear in mind any time difference there is between you and your Copywriter(s), so you can organize communication to take place at the most appropriate times.

Appropriate content

You agree not to post positions that involve taking part in illegal activity.

Appropriate work opportunities

Wordfruit is for sourcing Copywriters for positions that require expertise with language and ideas: mainly copywriting work, other professional writing services, translation work, and other words-based work.

Please do not post low-grade jobs such as jobs that require producing a high-volume of material for low-payment, for search engines, with little regard for the human reader. Please do not request connections to Copywriters for these types of jobs. There are other websites that accept these types of jobs, and Writers on those sites will be able to do those jobs at much lower rates than the rates of Copywriters at Wordfruit. Please contact if you would like to be referred to one of those sites.

Positive dealings

You agree not to tamper with or disrupt the workings of the Wordfruit website or services in any way. You agree to endeavor to maintain good relations with Copywriters that you connect with through Wordfruit. You agree to not gather members' information and not to send spam to any Wordfruit members.

Your personal details

Personal data on Wordfruit is security protected. However, we cannot guarantee that unauthorized third parties will not access this data. You post details at your own risk. There is a free-to-post job posting option. For pay-to-post job postings, payments are through PayPal or bank transfer. Payment details are protected by PayPal security measures and bank security measures.

Management discretion

Provision of services to any individual or company, is at the sole discretion of Wordfruit management.

Not involved in Copywriter-Client contracts

Wordfruit is for Clients to find Copywriters. Wordfruit is not involved in negotiating contract terms between Clients and Copywriters.

Schedules of payments and terms relating to payment for writing work, are based on your agreements with Copywriters.

Wordfruit recommends that you use written contracts.

You are responsible for paying the Copywriters that you contract to do work.

Communication between Copywriters and Clients is not through the Wordfruit site itself: it is through email, phone, etc.

Fees

There are no membership fees at Wordfruit.

There are fees to post jobs.

The relevant fees are stated on the Post-a-job form.

Job posting fees payable to Wordfruit including banking fees, PayPal fees, etc are the responsibility of the Client. The stated fees are the amounts that should be received by Wordfruit after banking fees. Payment on the site is through PayPal, but if you prefer to pay by bank transfer, you can email us your job description, requesting an invoice to pay by bank transfer. Please choose the most convenient or lowest-fee method, as you prefer.

After we have sent you connections to Writers, we may follow up with a few questions that will be quick for you to answer, to help ensure we are giving the best possible service, and to keep track of things.

If you hire Richard Clunan as a copywriter:

Payment is via PayPal. Or ask for Richard's bank details if you prefer to make bank transfers.

On set-budget jobs:

50% payment to confirm go-ahead with the job.

50% on completion of the job. If provision of any materials, organising of interviews, giving feedback, or any other item that is under your management causes any delay, Richard will bill the 50%-completion fee after his estimated time to complete the job (he'll give you that time-estimate before he goes ahead with the job).

The 50% completion fee is due to be paid within 2 business days of Richard sending the invoice. (If you're not using an instant-pay mechanism, accounted-for days that the banks spend transferring the fees are not subject to late-payment fees.)

Late payment fees are $100 per day on each initial invoice.

All additional fees -- bank-transfer fees, and other fees, are your responsibility to pay.

On hourly, day-rate, or week-rate jobs:

Please book as retainer.

On set-fee jobs or time-rate jobs, if you prefer different terms, Richard will be happy to consider your proposals. Any subsequent agreements you make with Richard will override the terms stated here.

Limited warranty / guarantee

With the Wordfruit system, we aim to provide Clients with connections only to high-standard Copywriters, other professional Writers, and translators. If we do not live up to this promise, please tell us, so that we can review our system.

If you are disatisfied with the Wordfruit service, please let us know. With pay-to-post jobs, you can claim a refund on your job post fee in exchange for telling us why you are not satisfied, so we can improve the service. Refund of job post fee is the only guarantee or warranty.

We offer no warranty nor guarantee of any kind in relation to the quality of copywriting work that you receive, nor its accuracy, originality, appropriateness, nor its legitimacy, nor to the identity or reliability of Copywriters, nor to the number of available appropriately qualified Copywriters.

No liability

To the extent permitted by law, in no event will Wordfruit be liable to you for any damages in relation to any matter, howsoever incurred.

Disputes

Wordfruit aims to provide a quality service that is useful for Clients and for Copywriters. If any potential dispute with Wordfruit arises, you agree to contact Wordfruit staff in the first instance, and to make adequate efforts to resolve the potential dispute in direct communication with Richard Clunan of Wordfruit. Wordfruit is based in the Republic of Ireland, and this agreement is subject to the laws of the Republic of Ireland. You agree that any dispute with Wordfruit must be resolved in court(s) located in the Republic of Ireland. You hereby submit to the jurisdiction of the courts located in the Republic of Ireland and to these courts exclusively.
